1.Introduction
1.1. These Terms of Services and any terms expressly incorporated herein (“Terms”) apply to your access to, and use of, this website and the services provided by us through it (such website and services, collectively, the “Services”) and are a legally-binding agreement between you (defined below) and the entity operating the website Metaverse.sg (“Metaverse.sg”, “Company”, “the Website”, “we”, “us” or “our”). As used in these Terms, “you” means you, the individual user, and also the legal entity or entities on behalf of which you use the Services.
1.2. Metaverse.sg and any services available within the Website is operated by Metaverse Pte. Ltd (“Company”, “we”, “our” or “us”). It is available at: Metaverse.sg (“the Website”) and may be available through other addresses or channels. By creating an Account you: warrant to us that you have reviewed these Terms of Services, including our Privacy Policy (available on the Website) (together hereinafter Terms), with your parent or legal guardian (if you are under 18 years old), and you understand them; warrant to us that you have the legal capacity to enter into a legally binding agreement with us or (if you are under 18 years old) you have your parent’s or legal guardian’s permission to access and use the Website and they have agreed to the Terms on your behalf; and agree to use the Website in accordance with the Terms. Please read the Terms carefully and immediately cease using the Website if you do not agree to them.
1.3. Definitions

| You, Guest, User | means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable. |
2.Acknowledgement
2.1. These are the Terms of Services governing the use of this Service and the agreement that operates between You and the Company. These Terms of Services set out the rights and obligations of all users regarding the use of the Service.
2.2. Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms of Service. These Terms of Service apply to all visitors, users and others who access or use the Service.
2.3. By accessing or using the Service You agree to be bound by these Terms of Services. If You disagree with any part of these Terms of Services then You may not access the Service.
2.4. Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.
3.Acceptable Use
3.1. When accessing or using the Services, you agree that you will not violate any law, contract, intellectual property or other right or commit a tort, and that you are solely responsible for your conduct while using our Services. Without limiting the generality of the foregoing, you agree that you will not:
3.1.1. Use our Services in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying our Services, or that could damage, disable, overburden or impair the functioning of our Services in any manner;
3.1.2. Use our Services to pay for, support or otherwise engage in any illegal gambling activities; fraud; money-laundering; or terrorist activities; or other illegal activities;
3.1.3. Use any robot, spider, crawler, scraper or other automated means or interface not provided by us to access our Services or to extract data;
3.1.4. Use or attempt to use another user’s account (if applicable) or pose as another user without authorization;
3.1.5. Attempt to circumvent any content filtering techniques we employ, or attempt to access any service or area of our Services that you are not authorized to access;
3.1.6. Develop any third-party applications that interact with our Services without our prior written consent;
3.1.7. Provide false, inaccurate, or misleading information;
3.1.8. Encourage or induce any third party to engage in any of the activities prohibited under this Section.
4. Listings, Scores and Rankings
4.1. Listings, Scores and Rankings. The Services provided by Metaverse.sg-generated rarity scores and rankings of non-fungible tokens (“NFTs”) provided by third parties. We do not make any guarantees or warranties regarding the accuracy, consistency or value of any of the scores or rankings on the Services. We reserve the right to change and adjust the scores and rankings at any time in our sole discretion, without notice, including, without limitation, through automated means.
4.2. Listing Submissions. If you wish to have your NFT project or collection listed on the Services with rarity scores and rankings, you must submit a request form via https://metaverse.sg/form (the “Listing Submission Form”). If you wish to have your NFT project listed on our “Upcoming NFT drops” page, you must fill in and submit the Upcoming NFT Projects Form (the “Upcoming Projects Form”). Metaverse.sg shall have sole discretion over whether to accept any Listing Submission Form or Upcoming Projects Form and whether to accept your request to list any NFT project or collection. By submitting a Listing Submission Form or Upcoming Projects Form, you:
4.2.1. Acknowledge that Metaverse.sg and/or its affiliates may, now or in the future, own and/or operate, in addition to the Services, one or more other service(s), marketplace(s) or platform(s) on which NFTs are displayed, listed, stored, custodied, traded, posted or linked to (together with the Services, collectively, the “NFT Platforms”), and you acknowledge and agree that 1) Metaverse.sg and its affiliates may synchronize (including, without limitation, using automated means) submitted NFT projects and collections across one or more NFT Platforms, and 2) Your submission is a request to have your NFT project or collection, as well as all NFT projects or collections that you previously submitted to Metaverse.sg, included on the Services and also, to the extent applicable, on the other NFT Platforms;
4.2.2. Grant to Metaverse.sg and its affiliates and our respective licensees, successors, and assigns a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable (through multiple tiers), transferable right and license 1) To copy, reproduce, display, list, score and rank on the NFT Platforms all NFTs (including, without limitation, the data, text, images, audio, video or other content associated with them) in the project or collection you submit, and all projects and collections you previously have submitted, for listing (collectively, “User-Submitted Materials”), to use on the NFT Platforms any names, user names, pseudonyms, smart contract or wallet addresses, trademarks or logos associated with such NFTs, project(s) or collection(s) in connection with them, and to link to such NFTs on the NFT marketplaces on which they are available for purchase, and 2) Use all answers and information you submit through the Listing Submission Form or Upcoming Projects Form to operate the NFT Platforms, for our and our affiliates’ other business, and analytics purposes and to contact you;
4.2.3. Represent and warrant to us that 1) all answers and information you submit are complete, true and accurate, 2) you own all right, title and interest necessary to provide such answers and information to us and to grant us the license set forth in clause 4.2.2. above, 3) you control the NFT marketplace accounts, collections and listings to which you provide links, 4) no NFT in your project or collection (or any content associated with any such NFT), or the display, promotion or sale thereof, infringes or misappropriates any third party’s intellectual property rights, violates any applicable law, rule or regulation, or otherwise violates these Terms, and 5) you have authority to legally bind to these Terms the entity or entities you are using the Services on behalf of; and
4.2.4. If you submit a Listing Submission Form and your NFT project or collection is listed, scored and ranked on the Services, agree to pay to Metaverse.sg, as a condition of the initial listing, scoring and ranking of each such NFT project or collection, the amount set forth on the Listing Submission Form page for each such NFT project or collection, in the form of payment specified on the Listing Submission Form page (the “Listing Fee”), via the invoice page we provide to you.
4.3. Previously User-Submitted Materials. Each time you use the services, you hereby grant to Metaverse.sg and its affiliates the rights and licenses set forth in section 4.2.2., and you make the representations and warranties set forth in section 4.2.3., with respect to all user-submitted materials and information that you previously submitted to the services.
4.4. No Refunds of Listing Fee. The Listing Fee is non-refundable.
4.5. Removal of Listings, Scores and Rankings. Metaverse.sg reserves the right, in its sole discretion, to remove any NFT listings, scores, rankings and/or other content from the NFT Platforms at any time if Metaverse.sg believes that 1) you have made any misrepresentation regarding any of such content, or 2) the continued inclusion of such content on the NFT Platforms would 1) infringe or misappropriate the intellectual property rights of any third party, 2) violate any applicable law, rule or regulation, 3) violate these Terms, 4) expose Metaverse.sg or its affiliates to liability or potential liability, 5) tarnish or damage Metaverse.sg’, its affiliates’ or the NFT Platforms’ reputation, brand or image, or 6) be otherwise undesirable.
5.Third Parties
5.1. You acknowledge and agree that: the provision of the Website may be contingent on, or impacted by, third parties, other customers’ use of our services, suppliers, other subcontractors (Third Party Inputs); and despite anything to the contrary, to the maximum extent permitted by law, we will not be responsible, and will have no Liability, for any default or breach of these Terms or law, if such default or breach was caused or contributed to by any Third Party Inputs.
5.2. This clause will survive the termination or expiry of these Terms. Intellectual Property Rights Our Intellectual Property All Intellectual Property in the Website and that Intellectual Property developed, adapted, modified or created by us or our Personnel (including in connection with these Terms) is and will remain owned exclusively by us or our third party service providers.
5.3. You must not, without our prior written consent: copy or use, in whole or in part, any of our Intellectual Property; reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate any of our Intellectual Property to any third party; reverse assemble, reverse engineer, reverse compile or enhance the Website; breach any Intellectual Property Rights connected with the Website, including altering or modifying any of our Intellectual Property; cause any of any of our Intellectual Property to be framed or embedded in another website; or creating derivative works from any of our Intellectual Property; resell, assign, transfer, distribute or make available the Website to third parties; “frame”, “mirror” or serve any of the Website on any web server or other computer server over the Internet or any other network; alter, remove or tamper with any trademarks, any patent or copyright notices, any confidentiality legend or notice, any numbers or any other means of identification used on or in relation to the Website; Notwithstanding anything to the contrary in these Terms or elsewhere, we may monitor, analyse and compile statistical and performance information based on and/or related to your use of the Website, in an aggregated and anonymized format (Analytics).
5.4. You agree that we may make such Analytics publicly available, provided that it: does not contain identifying information; is not compiled using a sample size small enough to make the underlying data identifiable. We and/or our licensors own all right, title and interest in and to the Analytics and all related software, technology, documentation and content provided in connection with the Analytics, including all Intellectual Property rights in the foregoing.
6.Content Backups
6.1. Although regular backups of Content are performed, the Company do not guarantee there will be no loss or corruption of data.
6.2. Corrupt or invalid backup points may be caused by, without limitation, Content that is corrupted prior to being backed up or that changes during the time a backup is performed.
6.3. The Company will provide support and attempt to troubleshoot any known or discovered issues that may affect the backups of Content. But You acknowledge that the Company has no liability related to the integrity of Content or the failure to successfully restore Content to a usable state.
6.4. You agree to maintain a complete and accurate copy of any Content in a location independent of the Service.
7. Links to Other Websites
7.1. Our Service may contain links to third-party web sites or services that are not owned or controlled by the Company.
7.2. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.
7.3. We strongly advise You to read the Terms of Services and Privacy Policies of any third-party web sites or services that You visit.
8.Termination
8.1. In the event of any Force Majeure Event, any breach of these Terms, or any other event that would make provision of the Services commercially unreasonable for Metaverse.sg, we may, in our discretion and without liability to you, with or without prior notice, suspend your access to all or a portion of our Services.
8.2. We may terminate your access to the Services in our sole discretion, immediately and without prior notice, and delete or deactivate your Metaverse.sg account (if applicable) and all related information and files in such account without liability to you, including, for instance, in the event that you breach any term of these Terms.
9.Changes to These Terms of Services
9.1. We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.
9.2. By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.
10. Limitation of Liability
10.1. Except to the limited extent otherwise required by law (if applicable), in no event shall Metaverse.sg or owners, directors, members, employees, agents or affiliates be liable for any special, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use of or inability to use our services or to the subject matter of these terms, including, without limitation, any damages caused by or resulting from reliance by any user on any information obtained from Metaverse.sg, or that result from mistakes, omissions, interruptions, deletion of files or email, errors, defects, viruses, delays in operation or transmission or any failure of performance, whether or not resulting from a force majeure event, communications failure, theft, destruction or unauthorized access to Metaverse.sg’ records, programs or services. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations of this section may not apply to you.
10.2. To the maximum extent permitted by applicable law, in no event shall the aggregate liability of Metaverse.sg and our owners, directors, members, employees, agents and affiliates, whether in contract, warranty, tort (including negligence, whether active, passive or imputed), product liability, strict liability or other theory, arising out of or relating to the use of, or inability to use, the services or to the subject matter of these terms exceed the fees paid by you to Metaverse.sg in connection with the services during the twelve (12) months immediately preceding the date of any claim giving rise to such liability.
10.3. You are solely responsible for your interactions with other users and members of the website and services. You understand and agree that we have no obligation to screen our users or members; inquire into the backgrounds of our users or members; or attempt to verify the statements of our users or members. We make no representations or warranties as to the conduct of users or members or their compatibility with any current or future users or members. If you find other users' or members' information to be offensive, harmful, inaccurate and/or deceptive, you can contact us about this. We reserve the right, but have no obligation, to monitor disputes between you and other users or members or to terminate or block you and other users or members for violations of these terms. Please also use caution, common sense, and safety when using the services to interact with other users and members. We further reserve the right, but have no obligation, to conduct any credit, criminal or other background checks using publicly available records, at any time, to confirm your compliance with these terms.
11.Disclaimer of Warranties
11.1. Generally. The Site and any Services provided thereby are provided "as is", "with all faults", "as available", without warranty of any kind, either express or implied.
11.2. Specific Disclaimers. To the fullest extent possible under applicable law the Company specifically disclaims:
11.2.1. Any warranties concerning the availability, accuracy, reliability, completeness, capabilities, security, timeliness, usefulness or content of the site and any Services or the ability of the Site or any Services to interoperate or integrate with any third-party products such as software or hardware;
11.2.2. Any warranties resulting from a course of dealing or usage of trade;
11.2.3. Any warranties with regard to the accuracy or completeness of or errors in the contents or functioning of or the accuracy of the results or output that derives from the use of the Site or any Services
11.2.4. Any warranties of merchantability or fitness for a particular purpose; and
11.2.5. Any warranties regarding the rights and title of the Company in the Site and any Services, or any warranty that the Site or any Services do not infringe the intellectual property rights of any third party.
12. List of services
12.1. We draw your attention to the fact that Metaverse.sg is NOT a financial exchange, a supplier of goods, an organizer of trades, or a creator of products. Metaverse.sg is an information resource that can charge a certain compensation (listing fee), all information posted on Metaverse.sg is for informational and educational purposes only, the accuracy of the information on Metaverse.sg is not guaranteed, trusting it you assume all risks of its inaccuracy, falsity, inadequacy. We do not give advice, but only express our opinion, which does not aim to influence your choice. All decisions made on the basis of information posted on Metaverse.sg fall solely under your responsibility, we are not responsible for your risks.
12.2. Metaverse.sg reserves the right to charge a listing fee for listing and ranking of NFT collections, we do not force anyone to use the services of Metaverse.sg, by paying this fee you voluntarily accept these Terms of Services in full, waiving any objections. The amount of the fee is determined by Metaverse.sg at its sole discretion and is subject to change at any time.
13. Force Majeure Events
13.1. Any loss or damage arising from any event beyond Metaverse.sg’ reasonable control, including but not limited to flood, extraordinary weather conditions, earthquake, or other act of God, fire, war, insurrection, riot, labor dispute, accident, action of government, communications, power failure, epidemic, pandemic, or equipment or software malfunction or any other cause beyond Metaverse.sg’ reasonable control (each, a “Force Majeure Event”).
14.Miscellaneous
14.1. These Terms sets forth the full and complete understanding between the Guests and Metaverse.sg with respect to its subject matter, and supersedes all prior understanding or agreements, whether written or verbal.
14.2. Unless contrary to law or otherwise stated, each provision of these Terms shall survive termination.
14.3. If any portion of these Terms is deemed unenforceable by a Court of competent jurisdiction, it shall not affect the enforceability of the other portions of these Terms.
14.4. The prevailing party in any suit to enforce the terms hereof shall be entitled to recover his/her/its reasonable attorneys' fees.
14.5. If Metaverse.sg changes the terms of these Terms, Metaverse.sg will post an updated set of Terms of Services on the website and/or will post a change notice and/or send users an email notice of the changes in advance of implementing the changes.
14.6. If any modification is unacceptable to You, You shall cease using the Metaverse.sg website and its services and be able to terminate Your subscription (if any). If You do not cease using the Metaverse.sg website and its services, You will be conclusively deemed to have accepted the change.
14.7. The English version shall prevail of all legal statements, statutory declarations made by Metaverse.sg, including the present Agreement. Metaverse.sg does not accept any kind of legal claims, or other complaints for the misunderstandings as a result of any mistranslation.
14.8. These Terms and the relations arising out from it between Metaverse.sg and the Guests will be governed by the law of Singapore.
14.9. Any disputes arising between Metaverse.sg and the Guests will be settled amicably and only when this solution is not efficient, the competent jurisdiction for the disputes arising from these Terms will be the courts of Singapore.
